General Agreement Between You and Uktal

WELCOME to Uktal Community (Uktal Shopping and Services). We appreciate your using our service. These General Terms and Conditions of Use (“Terms”) are an agreement (“Agreement”) between you and UKTal and covers your use of any information, software, products and services made available through UKTal.com (or “UKTal”).

 

UKTal.com is offered to you conditionally upon your acceptance of these Terms and any notices contained on the Website. Please read the Terms carefully before you start using UKTal.com. Do not use the Website and services unless you wish to be bound by these Terms because by using the Website, opening an account or by clicking to accept or agree to the Terms of Service when this option is made available to you, or continuing to use any part of UKTal.com, you confirm your acceptance of the Terms (which also include the Privacy Policy and Cookies Notice). You also agree to comply with any guidelines or rules posted on the Website regarding any Product or Service. All such guidelines and rules posted are hereby incorporated by reference into these Terms and Conditions. This Agreement governs any use of UKTal.com as a guest or a registered member.

 

If you continue to use UKTal.com as a guest, please be aware that neither UKTal nor its agents, employees and representatives, shall be liable to you or any other party for any losses or damages whatsoever or howsoever arising in connection with UKTal.com (whether under these Terms or other contract or as a result of any misrepresentation, misstatement or tortious act or omission, including negligence).

 

By using the Website, you also represent and warrant that you are of legal age to form a binding contract and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use UKTal.com. You are responsible for making all arrangements necessary for you to have access to UKTal.com. You are also responsible for ensuring that all persons who access UKTal.com through your internet connection are aware of these Terms and that they comply with them.

KEY TERMS

The following terminology applies to these Terms and Conditions and Privacy Policy:

The Website is UKTal.com

Buyer is the party that acquires or agrees to acquire, ownership of an item sold on UKTal.com in exchange for money.

Seller or Merchant is a party that makes or offers to sell products or goods through UKTal.com.

Freelancer or Freelancer: (Used interchangeably) is an independent contractor, tradesperson, taskers, professionals and other service providers who have subscribed to sell their services or products on UKTal.com

Employer is a website user who purchases or seeks to purchase a service on UKTal.com.

Service is the work or task offered by a Freelancer or Freelancer on UKTal.com.

Item is a particular tangible or digital product offered by a Freelancer on UKTal.com.

Pre-set Offer is the work or service offered by a Freelancer (who may or may not work exclusively on the project) at a pre-set price.

Service is a particular piece of work to be done or undertaken by a Freelancer on UKTal.com.

Earning is the money obtained by a party in return for the service or item sold on UKTal.com.

Extras Tasks are additional services offered on top of a Freelancer’s task for an additional price defined by the Freelancer.

Custom Order is the proposal made between an Employer and a Freelancer outside the job posting by the Freelancer on UKTal.com.

Dispute is a disagreement between users on UKTal.com.

 

RELATIONSHIP BETWEEN UKTAL AND YOU:

(1) UKTal is NOT a store or an Employment Agency

UKTal.coM is an online marketplace platform for products sold by independent store owners and services performed by independent contractors, therefore UKTal.com is only a VENUE. The marketing on the website or the information provided by UKTal along with the content on UKTal.com related to services and products is provided for your private use and does not constitute a piece of advice from qualified Independent Contractors. We cannot guarantee that any information is correct, current or up-to-date, nor suitable for every situation. 

 

Since UKTal is not a Store or an Employment Agency, please note that there is no contract between Freelancers, Buyers, Employer or Sellers and UKTal. Therefore, your use of UKTal.com does not create an Employee/ Employer or Seller/ Buyer relationship between you and UKTal, or between you and any UKTal or Lexdot Limited employee or representative.

 

(2) UKTal is NOT an Introducer or a Referral Company

UKTal does not introduce or refer Employers or Buyers to you or recommend your business to Employers or Buyers. We do not attempt to put you and any particular Employers or buyer in touch with each other. The services and products sold on UKTal.com are offers that may meet individual requirements posted by Freelancers and Sellers and advertised to the general public. If you need expert advice for your specific need, please consult a suitably qualified Independent Contractor or company. Neither UKTal nor any information provided on UKTal.com is a substitute for a piece of advice from a suitably qualified Independent Contractor. UKTal's publication of Independent Contractors is for your evaluation only and not an endorsement. UKTal does not endorse or recommend any Independent Contractor, nor does it make any warranty as to the qualifications or competency of an Independent Contractor.

 

 

RELATIONSHIP WITH MERCHANTS

Merchants selling their products on UKTal.com are independent third parties. UKTal is not acting as a principal, agent or broker concerning any advertisers. Your relationship with any merchant you contact through this Website is solely between you and the merchant. You agree not to hold UKTal liable for any loss or damage of any sort incurred as the result of any business conducted with the merchants or as the result of the content provided by such merchants through the store on UKTal.com.

 

NO REPRESENTATION

UKTal makes no representation, guarantee, or warranty (express or implied) as to the legal ability, competence, or quality of representation which may be provided by any of the freelance freelancer, taskers or professional service providers which may be listed through the UKTal.com.

 

NO JOINT VENTURE

You agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of this Agreement or your use of UKTal.com.

Our performance of this Agreement is subject to existing laws and legal process. Nothing contained in this Agreement is in derogation of our right to comply with governmental, court and law enforcement requests or requirements relating to your use of UKTal.com or information provided to or gathered by us concerning such use.

 

If any part of this Agreement is determined to be invalid or unenforceable under any applicable law, including, but not limited to, the warranty disclaimers and liability limitations set out above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement will continue in effect.

 

We may provide you with notices, including those regarding changes to the Terms by email, regular mail, postings on UKTal.com, or other reasonable means now known or developed in the future.

A printed version of the Agreement, and any notice given in the electronic form, will be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish of the parties that this Agreement and all related documents have been drawn up in English.

 

PAYMENT

There is no charge payable to UKTal for use of the Website during the continuance of these Terms and Conditions. UKTal shall have no responsibility for transmission of funds due to any third party provider or distributor with whom you may elect to deal. You shall be responsible for transmitting all payments due on the terms agreed with any third party provider or distributor.

 

ADDING CONTENT

UKTal enables you to add content to the Website in the form of products, services, reviews or other features. UKTal shall be entitled, at its absolute discretion, to publish, edit, refuse, or delete content provided to it. UKTal will not knowingly permit the publishing of content that may be illegal under applicable law.

 

YOU CONSENT TO RECEIVE EMAILS

By creating an account, you agree that you may receive communications from UKTal.com, such as special offers, account reminders and updates. You also understand that you can remove yourself from these communications by clicking the “Unsubscribe” link in the footer of the email.

 

LINKS TO THIRD PARTY WEBSITE

UKTal.com may contain links to third-party resources and businesses on the Internet, called here “links” or “linked sites.” Those links are provided for your convenience to help you sponsor and is not legally associated with any third party linked sites. UKTal Limited is not legally authorised to use any trade name, registered trademark, logo or copyrighted material that may appear in the link.

 

UKTal does not control, endorse or monitor the contents of any Linked Site. That includes, without limitation, any further link contained in a linked website, and any changes or updates to a Linked Site. UKTal is not responsible for webcasting or any other form of transmission received from any linked website. These Terms do not cover your interaction with the linked website. You should carefully review the terms and conditions and privacy policies of any third-party sites.

 

If you use any service provided on a Linked Site, (a) UKTal Limited will not be responsible for any act or omission of the third party, including the third party’s access to or use of your customer data and (b) UKTal Limited does not warrant or support any service provided by the third party.

 

OWNERSHIP AND PRESERVATION OF YOUR MATERIAL

UKTal does not own any of the materials you provide to us (including feedback or suggestions) or post, upload, input or submit to any UKTal.com or its associated services (collectively, your “Postings”).

 

By posting, uploading, inputting, providing or submitting your posts, you grant UKTal, its affiliated companies, and necessary sublicensees permission to use your postings in connection with the operation of their Internet businesses including, without limitation, the right to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your posting; and to publish your name in connection with your posting. No compensation will be paid concerning the use of your posting. We are under no obligation to post or use any posting you provide and may remove any posting at any time at our sole discretion. By posting, uploading, inputting, providing, or submitting your Submission, you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

 

We reserve the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in our discretion.

 

ACCEPTABLE USE OF UKTal.Com

(i) No Unlawful or Prohibited Use

As a condition of your use of UKTal.com you will not use UKTal.com for any purpose that is unlawful or prohibited by these Terms. You will not use UKTal.com in any manner which could damage, disable, overburden or impair UKTal.com or interfere with any other party’s use and enjoyment of UKTal.com. You will not obtain nor attempt to obtain any materials or information through any means not intentionally provided for on UKTal.com.

 

The Content is protected by copyright and all other applicable Intellectual Property Rights set out above. Content is for your personal use only and not for resale. Your use of UKTal.com does not entitle you to resell any Content from UKTal.com. For the avoidance of doubt, your use of UKTal.com constitutes your acceptance of these Terms and your promise that you will not resell or otherwise attempt to commercially benefit from the Content without our written express consent.

 

Our status (and those of any identified contributors) as the authors of material on UKTal.com must always be acknowledged and you must not use the material in a derogatory manner. If you print off, copy or download any part of UKTal.com in breach of these Terms, your right to use UKTal.com will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

 

(ii) UKTal Community User Conduct and Protection

UKTal enables people around the world to create, share, sell, and purchase nearly any service they need at an unbeatable value. Services offered on UKTal reflect the diversity of an expanding Task economy. Members of the UKTal community communicate and engage through orders, social media, and on UKTal’s Community Forums.

UKTal maintains a friendly, community-spirited, and professional environment. Users should keep to that spirit while participating in any activity or extensions of UKTal. This section relates to the expected conduct users should adhere to while interacting with each other on UKTal. You agree to use the Communication Services only to post, send, and receive messages and material that are proper and related to the particular Communication Service. You agree that when using a Communication Service, you will not:

• defame, abuse, harass, stalk, threaten or otherwise breach the legal rights (such as rights of privacy and publicity) of others;

• publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information;

• upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control these rights or have received all necessary consents;

• upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another’s computer;

• advertise or offer to sell or buy any goods or services for any business purpose unless such Communication Service specifically allows such messages;

• conduct or forward surveys, contests, pyramid schemes or chain letters;

• download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner;

• falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded;

• restrict or inhibit any other user from using and enjoying the Communication Services;

• breach any code of conduct or other guidelines which may be applicable for any particular Communication Service;

• harvest or otherwise collect information about others, including e-mail addresses, without their consent;

• upload or exchange of adult-oriented or pornographic materials and services;

• engage in bullying, harassment, and hate speech towards others. We allow users a medium for which messages are exchanged between individuals, a system to rate orders, and to engage on larger platforms such as our Community Forum and Social Media pages;

• publish or send malicious content with the intent to compromise another member’s account or computer environment is strictly prohibited;

• publish or post other people’s private and confidential information. Any users who engage and communicate outside of UKTal will not be afforded the protections specified in this Terms of Service;

• infringe and/or violate of third party’s terms of service;

• use UKTal for any unlawful purposes or to conduct illegal activities;

• have more than one active account. Any additional account determined to be created to circumvent guidelines, promote competitive advantages, or mislead the UKTal community will be disabled;

• engage in targeted abuse or harassment towards other users on UKTal.com. This includes creating new multiple accounts to harass members through our message or ordering; system;

• breach any applicable laws or regulations.

 

We reserve the right, at our discretion, to review and remove materials posted to a Communication Service, in whole or in part. UKTal reserves the right to terminate your access to any or all of the Communication Services at any time without notice if we reasonably believe that you have breached these Terms or are misusing the Communication Services in any way.

 

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. We do not control or endorse the content, messages or information found in any Communication Service and, therefore, we specifically disclaim any liability concerning the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not our authorised spokespersons and their views do not necessarily reflect our views.

 

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction, and/or dissemination. You are responsible for keeping within these limitations if you download the materials.

 

We offer ways to communicate through the UKTal.com network, community message boards, chat and forums. You agree to use those services as intended and not to post anything illegal or abusive.

 

(iii) Violations

Users may receive a warning to their account for violations of our Terms of Service or any user misconduct reported to our Trust and Safety team. A warning will be sent to the user’s email address and will be displayed for such a user on the Site. Warnings do not limit account activity, but can lead to your account losing Freelancer statuses or becoming permanently disabled based on the severity of the violation.

(iv) Reporting Violations

If you come across any content that may violate our Terms of Service, you should report it to us through the appropriate channels created to handle those issues as outlined in our Terms of Service. All cases are reviewed by our Administration. To protect individual privacy, the results of the investigation are not shared. You can review our Privacy Policy for more information.

 

COPYRIGHT AND TRADEMARK NOTICE

UKTal is a subsidiary of Lexdot Limited, doing business as UKTal.com. Except as expressly provided, nothing within the Website shall be construed as conferring any license under our or any third party’s intellectual property rights, whether by estoppel, implication, waiver, or otherwise. Without limiting the generality of the foregoing, you acknowledge and agree that all content available through and used to operate the Website and its services is protected by copyright, trademark, patent, or other proprietary rights of UKTal and its affiliates, licensors, and service providers.

 

INTELLECTUAL PROPERTY INFRINGEMENT CLAIMS

It is the policy of UKTal to respond expeditiously to claims of intellectual property infringement. We will promptly process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act (“DMCA”) and other applicable intellectual property laws. Please contact us with the notice of any such infringement.

 

SELLING PRODUCTS

You must be very clear and thorough with your description, about the terms of the transaction and include information about the forms of payment you accept, any taxes or other applicable fees, postage method and costs, and your return policy. We reserve the right to reject, approve, or remove any listing for any reason at any time, at our sole discretion.

SELLING SERVICES

(i) Defined Tasks

A Freelancer may create Defined Tasks as products on UKTal to allow Employers to purchase their services, products, and technology. Tasks may be removed by UKTal for violations of these Terms of Service.

(ii) Extra Tasks

Extras tasks are additional services offered on top of the Freelancer’s Task for an additional price defined by the Freelancer. Extras Tasks may cover different categories of services that are components to a higher quality delivered service. Freelancer freelancers have the option to extend the duration of an order for each Task Extra that is added to the order. This is to cover the time needed to complete the extra service.

(iii) Custom Offer

Freelancer Freelancers can also send Custom Offers addressing specific requirements of an Employer. Custom Offers are defined by the Freelancer with the exact description of the service, the price, and the time expected to deliver the service. Custom Offers are sent from the conversation page. Services provided through Custom Offers may not violate UKTal’s Terms of Service.

Some of the services on UKTal are delivered physically (arts and crafts, collectable items, etc.]). For these types of Tasks, Freelancers may decide to add shipping charges. Freelancers/ Freelancers can add shipping charges for local shipping (within the same country) and international shipping (anywhere else).

Tasks that include shipping costs must have physical deliverables sent to Employers. Shipping costs added to a Task only pertains to the cost Freelancers require to ship physical items to Employers. Important: Employers who purchase Tasks that require physical delivery, will be asked to provide a shipping address. Freelancers are responsible for all shipping arrangements once the Employer provides the shipping address.

UKTal does not handle or guarantee shipping, tracking, quality, and condition of items or their delivery and shall not be responsible or liable for any damages or other problems resulting from shipping. A tracking number is a great way to avoid disputes related to shipping. We require entering the tracking number if available on the order page when delivering your work.

BUYING SERVICES

(i) Purchasing

You may not offer direct payments to a Freelancer using payment systems outside of the UKTal recommended payment method or order system. Employers pay UKTal to purchase a task from a Freelancer Listing or Custom Offer, using the Order Now button. Additionally, Employers can request a Custom Order which addresses specific Employer requirements and receive a Custom Offer from Freelancers through UKTal.com. Services or tasks may be purchased using a Credit Card or Paypal account.

If you have funds in your UKTal account balance, either from your shopping or available Earning balance, it will be automatically applied to your next purchase. You may not offer Freelancers/ Seller to pay or make payment using any method other than through the UKTal.com site. In case you have been asked to use an alternative payment method, please report it immediately to us.

To protect against fraud, unauthorized transactions (such as money laundering), claims or other liabilities, we do not allow Buyers, Sellers and Employers and Freelancers to collect payment information or transfer payments to the other party on or outside the Website. Please secure your payment information. See our Privacy Policy for more information.

(ii)Taxes

Employers and Buyers may be charged with indirect taxes (such as VAT or GST) depending on their residency, location, and any applicable law, in addition to the Task price shown on the Task page.

(iii) Orders

Once payment is confirmed, your order will be created and given a unique UKTal order number. A freelancer must deliver completed files and/or proof of work using the Deliver Work button (located on the Order page) according to the service that was purchased and advertised on their Task. Using the Deliver Work button may not be abused by Freelancers to circumvent Order guidelines described in this Terms of Service. Using the “Deliver Work” button when an order was not fulfilled may result in a cancellation of that order after review, affect the Freelancer’s rating and result in a warning to the Freelancer. Employer. An order will be automatically marked as complete if not rated and no request for modification was submitted within 3 days after marked as Delivered.

We encourage our Employers and Freelancers to try and settle conflicts amongst themselves. If for any reason this fails after using the Resolution Centre or if you encounter non-permitted usage on the Site, users can contact UKTal’s Customer Support department for assistance.

HANDLING ORDERS

When an Employer orders a Service, the Freelancer is notified by email as well as notifications on the site while logged into the account. Freelancers are required to meet the delivery time they specified when creating their Tasks. Failing to do so will allow the Employer to cancel the order when an order is marked as late and may harm the Freelancer’s status, Freelancers must send completed files and/or proof of work using the Deliver Completed Work button (located on the Order page) to mark the order as Delivered.

 

Users are responsible for scanning all transferred files for viruses and malware. UKTal will not be held responsible for any damages which might occur due to site usage, use of content or files transferred. A Freelancer may cancel an order without the Employer’s consent at any given moment (Force Cancellation). However, this will harm the Freelancer/ Freelancer’s status.

Employers may use the “Request Revisions” feature located on the Order page while an order is marked as Delivered if the delivered materials do not match the Freelancer’s description on their Service page or they do not match the requirements sent to the Freelancer at the beginning of the order process.

 

REVIEWS

Feedback reviews provided by Employers and Buyers when orders are completed is an essential part of UKTal’s rating system. Reviews demonstrate the party’s overall experience with the Freelancer or Seller and their service or product. Employers and Buyers are encouraged to communicate to the FreelanceFreelancer or Seller any concerns experienced during their active order in regards to the service provided by them. Leaving feedback is a basic prerogative of the party. Feedback reviews will not be removed unless there are clear violations of our Terms of Service.

 

To prevent any misuse of our Feedback system, all feedback reviews must come from legitimate sales executed exclusively through the UKTal.com platform from users within our community. Purchases arranged, determined to artificially enhance Freelancer ratings, or to abuse the UKTal platform with purchases from additional accounts, will result in a permanent suspension of all related accounts.

Feedback comments given by Employers are publicly displayed on a Freelancer’s Task page. Employers have the option not to include a comment, but still rate the service. Cancellation of an order does not remove feedback unless mutually agreed. Work Samples are the delivered images and videos sent to an Employer in a delivery message. Work Samples are added to a Freelancer’s Live Portfolio on their Task page if the Employer chooses to publish the Work Sample while providing a public feedback review.

 

Withholding the delivery of services, files, or information required to complete the project with the intent to gain favourable reviews or additional services is prohibited.

Responding and posting a review: Once work is delivered, the Employer has three days to respond and post a review (or 14 days for Tasks with shipping). If no response is provided within the response period, the order will be considered completed.

Users are allowed to leave reviews on orders up to 30 days after an order is marked as complete. No new reviews may be added to an order after 30 days. Freelancers may not solicit the removal of feedback reviews from their Employers through mutual cancellations.

 

RETURN POLICIES

Sellers must stipulate the sore's return policy and priority will be given to the published policy. Where the merchant or Seller fails to state the store's Return Policy or where the stated Policy is vague, UKTal.com Return Policy will apply.

DISPUTES AND CANCELLATIONS

We encourage all parties to try and settle conflicts amongst themselves. If for any reason this fails or if you encounter non-permitted usage on the Site, users can contact UKTal’s Administration.

 

Order cancellations can be performed on UKTal, when eligible, by Customer Support or through the Resolution Centre per order. Filing a transaction dispute or reversing a payment through your Freelancer or your bank is a violation of these Terms of Service. Doing so may get your account temporarily disabled to investigate possible security violations. Note: once you have filed a dispute with your Freelancer, the funds will be ineligible for a refund due to our obligations towards the Freelancer.

If an Employer or Freelancer encounters an issue related to the service provided in an order, you are encouraged to use the Site’s dispute resolution tools to attempt to resolve the matter. UKTal reserves the right to cancel orders or place funds on hold for any suspected fraudulent transactions made on the Website.

 

When applicable, all transfer and assignment of intellectual property to the Employer shall be subject to full payment for the Service and the delivery may not be used if payment is cancelled for any reason. If an order is cancelled (for any reason), the funds paid will be refunded to the Employer’s shopping balance. Revisions to deliveries can be performed by a Freelancer based on the Freelancer’s project and customer care. Freelancers may determine the number of revisions offered to an Employer, including no revisions.

Requests for revisions can be performed through the Order page while the order is marked as Delivered. Requesting to gain more services from Freelancers beyond the agreed requirements is not allowed.

 

ORDER CANCELLATIONS

UKTal encourages Employers and Freelancers to resolve service disputes mutually using the Resolution Centre. Eligibility for requests to UKTal to cancel an order will be assessed by our Customer Support team based on several factors, including violations to our Terms of Service, general misconduct, and improper usage of the UKTal.com delivery system. Orders are not eligible to be cancelled based on the quality of service/materials delivered by the Freelancer if the service was rendered as described on the Task page. Parties must use UKTal Resolution Centre to address their concerns and desired resolution related to the service provided before contacting Customer Support.

 

Customer Support will not take any action against Orders where the Buyer or Employers failed to inform the Seller or Freelancer of issues related to their product or service and will allow them to provide a resolution first. This does not include non-permitted usage of UKTal. Any non-permitted usage of UKTal encountered during an Order, after being reviewed by our Customer Support team, may result in the order being cancelled. This includes, but not limited to; harassment, unlawful behaviour, or other violations of UKTal’s Terms of Service.

UKTal Customer Support will cancel orders based on, but not limited to, the following reasons:

(I) Active orders (after the Employer submits their requirements and before the Freelancer delivers on UKTal.com)

• The Freelancer is late and unresponsive for more than 24 hours while the order is marked as Late.

• Users are abusive towards the other party through threats of low ratings or leveraging order materials (such as logins, personal information) against each other

• Users supplied or included copyright/trademark infringing materials as part of the Employer requirements or the Freelancer’s delivery.

• The user is no longer an active UKTal user due to Terms of Service violations or closure of their account.

(ii) Delivered Orders (after the Freelancer clicks Deliver Now and before the order is marked as complete)

• The freelancer uses the Delivery system to extend the delivery due date to complete the requested service without providing the final delivered service to Employers.

• The Freelancer delivers no files and/or proof of work related to the agreed-upon order requirements.

• The Freelancer requests additional payments, on or off the UKTal platform, by withholding the final delivery of services directly related to the agreed requirements.

• The Freelancer is withholding the final delivery of services for improved ratings.

• Employers who abuse the Request Revisions button to gain more services from Freelancers beyond the agreed requirements.

• Employers who threaten to leave a damaging review to gain more services from the Freelancer not related to the agreed requirements.

(iii) Completed Orders (after the order is marked as complete and before the 14-day limitation) UKTal Customer Support will review cases of Order delivery.

 

REFUNDS

UKTal does not automatically refund payments made for cancelled orders back to Buyer or Employer. For services, funds from order cancellations are refunded to the Employer’s balance as credit and are available for future purchases on UKTal. Funds returned to your balance from cancelled orders will not include processing fees paid.

 

Deposit refunds, when available from the payment Freelancer, can be performed by our Customer Support team. To prevent fraud and abuse, we limit the total amount of times users can request a payment refund from their account which is subject to review by our Customer Support Team. Such refunds may be subject to an additional fee. If any processing fees were added at the time of purchase to create a new order, the processing fees from that payment will not be refunded along with your deposit.

 

ACCOUNT MAINTENANCE

You represent that you will be responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You also agree to be responsible for any share that occurs under your password or your account. You agree to immediately notify us of any unauthorized use of your password or account or any other breach of security. UKTal will not be responsible for any loss or damage arising from your failure to comply with your responsibilities and obligations under these Terms and Conditions. By entering any information on this UKTal.com, you represent and warrant that:

(i) you have the legal capacity to agree to these terms and use this Website;

(ii) you are using your actual identity;

iii) you have provided only true, accurate, current and complete information; and

(iv) you will maintain and promptly update the information that you provide to keep it true, accurate, current and complete.

If you provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we may suspend or terminate your account and refuse any current and future use of the Website.

ACCOUNT TERMINATION

If you wish to cancel a username or password, or if you become aware of any loss, theft or unauthorized use of a username or password, you must notify us immediately. We reserve the right to delete or change any username or password at any time and for any reason. We may suspend or terminate your account or your use of this Website at any time, for any reason or no reason at all.

 

FORCE MAJEURE

Under no circumstances shall UKTal Limited be held liable for any delay or failure or disruption of the content or services delivered through the UKTal.com resulting directly or indirectly from acts of nature, forces or causes beyond our reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labour disputes, riots, insurrections, civil disturbances, shortages of labour or materials, fires, flood, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals or non-performance of third parties.

YOUR USE OF THE SITE, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. MODIFICATIONS

We aim to update UKTal.com regularly and can change the content at any time. We will use our reasonable efforts to keep UKTal.com available to you, but if necessary, we may suspend access to UKTal.com, or close it indefinitely. We will not be liable if for any reason UKTal.com is unavailable at any time or for any period.

 

ENTIRE AGREEMENT

Unless otherwise specified, this Terms of use constitutes the entire agreement between you and Lexdot Limited concerning UKTal.com and it supersedes all prior communications and proposals, whether electronic, oral or written, between you and us concerning UKTal.com.

 

ASSIGNMENT

You must not assign or otherwise transfer the Terms, or any right granted under them, without our written consent. We can freely transfer our rights under the Terms.

 

WAIVER

Any failure by us to enforce or exercise any provision of the Terms, or any related right, will not be a waiver of that provision or right. Any rights not expressly granted in this Agreement are reserved. If a provision is found unenforceable, the remaining provisions of the Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible.

 

APPLICABLE LAW

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and interpreted following the law of England and Wales. Buyers and sellers of goods and services are responsible for complying with all applicable laws and regulations relating to the sale of their good or service.
